Michael K. Dershem is a seasoned business development entrepreneur who has assisted multiple ventures and attracted millions of dollars of capital. Outstanding track record in strategic business planning and development, capital and financial sourcing, multi-disciplinary problem solving, and technology development. Strong technology-transfer background from government and university research to private sector commercialization. Michael began his ‘serial entrepreneur’ career over twenty years ago. His first foray was as co-owner of RX Returns, which grew to become the largest pharmaceutical returns company in the nation. He later helped form a niche banking company, which became one of the fastest growing private companies in New Jersey. Serving as founding CEO of Pharmasset, an Emory University start-up company, successfully raised over $25 million in private equity funding and executed a $30 million research and development agreement with DuPont. The company has subsequently gone public and was acquired by Gilead Sciences for $11 Billion. Michael graduated with a BA in Economics from Dickinson College and holds an MBA as well.

David Klein.  David is an attorney practicing law in both Pennsylvania and New Jersey for over twenty years.  He serves as general counsel for numerous companies and, although his practice focuses on commercial transactional work and commercial litigation, has litigated personal and business divorces, as well.  David was also a member of the Committee on Legal Ethics and Professional Responsibility of the Pennsylvania Bar Association for fifteen years and prior to practicing law, he successfully ran retail and manufacturing companies in Pennsylvania, New Jersey and California as principal / senior manager.  David earned a BS from Pennsylvania State University before graduating, with honors, from Ohio Northern University College of Law.

John E. Parker. John has an extensive and diverse professional career financing, advising, counselling and managing growth companies in a variety of leadership capacities.  Currently, John is the co-founder, President and a Director of Keystone NAP, LLC, an advanced data center and managed services provider located in Fairless Hills, Pennsylvania.  John is also the co-managing partner of GenCounsel, LLC, a professional services firm through which he also established a sizeable practice as strategic advisor and attorney to many growth-oriented technology, SaaS and cloud computing firms. Prior to starting GenCounsel, John (i) served in a variety of executive positions with Airclic Inc., including President, CFO and General Counsel. (ii) was a senior business attorney with Morgan, Lewis & Bockius, LLP where he led many strategic business transactions, mergers/acquisitions and public and private securities’ offerings, and (iii) was a lending officer for predecessor banks of Wells Fargo and Comerica.  John graduated from Villanova University School of Law and Dickinson College (economics) where he also co-captained the intercollegiate football and baseball teams.

Glenn Holck. Glenn is a founding partner and Managing Member of Greenbriar Capital, LLC (“GC”), a regional financial services resource company, assisting clients with capital structure and advisory services.  Through their partnerships and strategic alliances, GC structures and sources capital for business expansion, acquisition, restructuring or debt consolidation, equipment purchase/lease, asset-based and accounts receivable financing, and SBA financing. Its clients are typically manufacturers, distributors, service providers, not-for-profits, retailers, restaurants, franchisees, real estate owners and investors, developers, distributors, healthcare providers and systems, and renewable energy companies.  Mr. Holck has an extensive career in the financial services sector, spanning a period of over 25 years. He has held Commercial Banking positions in the banking sector ranging from Relationship Management to Group and Division Management. In 1998, he joined Commerce Bancorp as Senior Vice President and Middle Market Banking Division Head, helping lead the Bank through its dynamic growth period.  Prior to Greenbriar Capital, LLC, he was President of Commerce Bank Pennsylvania, a wholly owned subsidiary of Commerce Bancorp. A graduate of Post College, in Connecticut, Mr. Holck has served on numerous For Profit and Not-For-Profit Boards throughout the region.

MANAGEMENT

Michael serves as the Chief Executive Officer and is an accomplished entrepreneur having managed and raised millions for various successful entities.  David serves as Chief Management Office and Deal Structure Counsel has been practicing law for over twenty years maintaining a private law practice in New Jersey and Pennsylvania.  David is known for his no nonsense approach to deal structuring and negotiations, and will be principally responsible for documenting and collecting each Secured Loan.  John E Parker, Esquire, and Glenn Holck also serve as key advisors and consultants to the Company.  John will focus on various corporate and business law matters on behalf of the Company, including the legal aspects of its fundraising transactions.  Glenn will provide strategic guidance to the Company, and assist in the business aspects of its fundraising transactions.
